Terms of Service

The agreement between your organisation and Lokom: what we provide, what it costs, and how either side ends it.

In effect from 3 September 2026Français

1. Who these terms are between

These terms govern your organisation's use of Lokom, at app.lokom.org and through the Pipedrive integration.

Lokom is the name this service is sold under. The contracting party is Nicolas Roulis EI, an *entreprise individuelle* registered in France under SIREN 877 528 109, 173 rue de Courcelles, 75017 Paris. "Lokom" is a trading name, not a company name and not a registered trade mark.

You means the organisation that opened the account. If you are accepting these terms, you confirm you are authorised to bind that organisation.

Lokom is sold to organisations for professional use. It is not a consumer product. See section 12 if you are a sole trader.

2. What Lokom does

Lokom reads deal data from your Pipedrive account, applies commission rules you design, and produces commission calculations and payout statements for the people you nominate.

Lokom is a calculation and administration tool. It does not decide what anyone is owed — you do. The rules, quotas, targets and plan assignments are yours; Lokom applies them as configured. You remain responsible for the correctness of your commission plans and for the payments you make. We say this plainly because the output looks authoritative, and it is only as right as the rules behind it.

Lokom requests read-only access to Pipedrive (deals:read, users:read). It cannot change or delete anything in your CRM.

3. Your account

You are responsible for the accounts you create, the access you grant, and the confidentiality of credentials. Tell us promptly at [email protected] if you believe an account has been compromised.

You must not: use Lokom outside your own organisation's commission administration; attempt to access another customer's data; reverse-engineer the service; or resell it.

4. Plans and what they cost

Billing is monthly, in euros or US dollars.

VAT is not currently charged. Lokom operates under the French *franchise en base de TVA* (article 293 B of the Code général des impôts), so invoices carry no VAT and none can be reclaimed on them. Two ongoing obligations follow from this, worth restating even though neither blocks publishing this page: revenue must stay under the €37,500 services threshold (€41,250 tolerance), and invoicing a business customer in another EU country — even one euro's worth — requires an intra-EU VAT number and a monthly DES declaration, starting from that first customer rather than any revenue level.

If and when Lokom passes the threshold, prices become VAT-exclusive and VAT is added at checkout according to your billing country, with reverse charge where a valid VAT number applies. We will tell you before that happens.

Free — €0. Two billable representatives on one live plan, five rules, one hundred deals, and the Pipedrive connection. Not time-limited: it is not a trial and it does not expire.

Growth — €49 per month, plus €19 per billable representative. The €49 is platform access, not a bundle of included seats: every representative is charged from the first one. Unlimited deals, rules and plans, plus integrations, PDF statements, payroll export and plan publishing.

We may change prices. Existing subscriptions keep their price until 30 days before their next renewal.

5. What "billable representative" means

You pay for a representative when all four of these are true: they are not archived, they sit in a role, that role has a plan, and that plan is live. Miss any one and they are not billable — not discounted, not counted.

We count once, at the end of your billing period. Your invoice is a snapshot of who was billable at that moment. It is not a peak during the month and not an average.

There is no proration, in either direction. A representative added on the last day of a period and present at the snapshot is billed in full for that period. A representative added and removed within the same period is not billed at all. This is deliberate: it keeps your invoice a plain count × rate you can check in one pass. The snapshot date is shown on your billing page before it happens.

Draft plans never make anyone billable. You can model your entire organisation, write every rule, and stress-test against past deals without paying for a single representative.

6. Payment

Payments are handled by Stripe. We never receive or store your full card number.

If a payment fails, Stripe automatically retries it on its own schedule, and we email you after each attempt. You keep full access to paid features during this time. If payment is still not resolved after 7 days, your account drops to the Free plan's limits until you update your payment method — your data is never deleted for a failed payment.

Invoices are available on your billing page.

7. Ending the agreement

You can cancel at any time from your billing page. Cancellation takes effect at the end of the period you have already paid for — you keep full access until then. We do not refund part-months.

Dropping back to Free means the Free limits apply again. Your data, history and closed statements are not deleted, but plans covering more representatives than Free allows stop being live. Export anything payroll needs before you cancel.

We may suspend or end the agreement if you breach these terms materially and do not fix it within 30 days of us telling you, or immediately if required by law.

8. Getting your data out, and deletion

While your account is open you can export your commission data as CSV and payout statements as PDF.

You can delete your organisation from your account settings. There is a 14-day grace period during which you can cancel the deletion, and we email your administrators when it starts. After that every record belonging to your organisation is erased. We keep a record that the deletion happened — who asked, and when — and nothing about the people who were in it.

9. Availability

We aim to keep Lokom available and we monitor it, but we do not currently offer a service level agreement, and these terms do not promise a percentage of uptime. We would rather say that than publish a number we have not instrumented.

We may take the service down for maintenance and will give notice where we reasonably can.

10. Your data and confidentiality

Your data stays yours. We process it to provide the service and as described in the Privacy Notice. Where we handle personal data on your behalf, the Data Processing Agreement applies and forms part of these terms.

Each side will keep the other's confidential information confidential.

11. Liability

Nothing here excludes liability that cannot be excluded under French law, including for death or personal injury caused by negligence, or for fraud.

Subject to that: our total liability to you in any twelve-month period is limited to the amount you paid us in the twelve months before the claim. Neither side is liable for indirect or consequential loss.

Commission calculations specifically. Lokom applies the rules you configure. We are not liable for payments you make on the basis of rules that are incorrectly configured, quotas that are wrong, or CRM data that is wrong. We *are* responsible for Lokom correctly applying the rules as configured, and if we get that wrong we will fix it.

12. If you are a sole trader

These terms are written for organisations, and Lokom is sold business to business. Note that Lokom is itself run as an *entreprise individuelle*: both sides of this contract may be one person, and that changes nothing about how it works.

Lokom does not accept consumer subscriptions. If you are an individual acting outside any professional capacity, please do not subscribe — the product is built to administer a sales team's commissions, and the consumer protections that would apply (including a 14-day withdrawal right and access to consumer mediation) are not something we are currently set up to honour correctly. If you subscribed by mistake in that capacity, contact [email protected] and we will refund you.

13. Changes to these terms

We may update these terms. For material changes we will email account holders at least 30 days before they take effect. Continuing to use Lokom after that means you accept them.

14. Governing law

These terms are governed by French law. Any dispute we cannot settle between us goes to the competent courts of Paris.
